1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the Gimedia advertising platform ("Platform") operated by Gi Media Ltd ("we", "us", "our"), a company registered in England and Wales, based at Southampton, UK.

By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part, you may not access the Platform.

2. Description of Service

Gimedia provides a digital advertising management platform offering:

Billboard and digital signage campaign management
Email advertising services
Newsletter creation and distribution
Website design services
Content management and analytics

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Acceptable Use

You agree not to:

Use the Platform for any unlawful purpose
Upload content that is defamatory, obscene, or infringes intellectual property rights
Attempt to gain unauthorised access to the Platform
Advertise tobacco, weapons, illegal substances, or content inappropriate for school environments

5. Content Standards

All advertising content must comply with the UK Advertising Standards Authority (ASA) codes. Content displayed in educational settings must be appropriate for all ages.

6. Billing and Payment

Fees are as stated on your invoice or subscription agreement. Payment is due within 30 days. We use GoCardless for Direct Debit payments. Late payments may incur interest at 4% above the Bank of England base rate.

7. Intellectual Property

The Platform is owned by Gi Media Ltd. You retain ownership of content you upload. By uploading content, you grant us a licence to display and process it as necessary to provide the services.

8. Data Protection

We process personal data in accordance with our Privacy Policy and the UK GDPR.

9. Limitation of Liability

To the maximum extent permitted by law, Gi Media Ltd shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

Either party may terminate with 30 days' written notice. We may suspend or terminate your account immediately if you breach these Terms. Data is retained for 90 days after termination.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or a prominent notice on the Platform.

12. Governing Law

These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
